What factors are considered when determining if a contract is regulated by common law or by the UCC?

The courts would compare the cost of goods versus the cost of services in the contract, the parties' intent and even some public policy issues. The UCC would govern a mixed-purpose contract if the predominant purpose is the sale of goods rather than the provision of a service. The location would be a factor if they are in Louisiana, as that state has not adopted the UCC.
