Preferred stock is a special class of capital stock. It has several features which distinguish it from common stock. Holders of preferred stock receive dividends before holders of common stock. Preferred shareholders have the right to receive a share of the assets before common shareholders in the event of bankruptcy. Unlike common shareholders, preferred shareholders have no voting rights.
