Answer to Question 1

The privilege is not automatic. The client claiming the privilege has the burden to establish the existence of the privilege.

Answer to Question 2

Outside computer or technology consultants must understand the nature of the confidentiality of the files on which they are working. They must also understand the duty of loyalty and the conflict of interest that would result if they were to provide services to another client whose interests were directly adverse. It would be wise for the law firm to perform a conflict check to verify that the consultant had not previously worked for an adverse party.
